Terms of Service

SuperLeagues, Inc., and as applicable, its subsidiaries and affiliates (collectively, "SuperLeagues," "we," "our," or "us") own and operate the SuperLeagues mobile application and website, located at superleagues.com, through which we offer free-to-play fantasy sports leagues, collectible player cards, powerups, and related products and services (collectively, the "Services").

These Terms of Service (the "Terms"), together with our Privacy Notice and any additional terms referenced herein, form a binding agreement between you and us. By creating an account, or by accessing or using the Services, you agree to these Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR OTHERWISE USE THE SERVICES.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you are at least 18 years old and that any information you provide to us is accurate. We may suspend or terminate any account we believe belongs to someone under 18.

2. Your Account

You sign in to SuperLeagues with your Apple or Google account. You are responsible for all activity that occurs under your account. Keep your sign-in method secure, and notify us promptly at support@superleagues.com if you believe your account has been compromised. You may not sell, transfer, or share your account, and you may not create accounts by automated means or create multiple accounts to abuse promotions, evade enforcement, or gain an unfair advantage.

3. License and Restrictions

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for your own non-commercial entertainment. Except as permitted by these Terms or by law, you may not:

• Copy, modify, distribute, sell, lease, or sublicense any part of the Services;
• Reverse-engineer, decompile, or attempt to extract the source code of the Services;
• Access the Services by any means other than the interfaces we provide, including by scraping, bots, or automated tools;
• Interfere with or disrupt the Services, or circumvent any security or rate-limiting measures.

4. The Services

SuperLeagues is a fantasy sports game. You create or join leagues with other users, draft real-world athletes to fantasy rosters, collect player cards with gameplay benefits, play powerups during live games, and compete in head-to-head matchups scored using real-world sports statistics. Player statistics, projections, schedules, and related sports data are obtained from third-party sources; we do not guarantee that any statistics, scores, or other data will be accurate, complete, or timely, and matchup results are determined by the data as processed by our scoring systems.

We are constantly developing the Services and may add, change, rebalance, or remove features, game mechanics, card benefits, powerup effects, and content at any time, including to maintain competitive fairness and game balance.

5. Virtual Items and SuperCoins

• The Services include virtual items such as SuperCoins, SuperPacks, player cards, and powerups (collectively, "Virtual Items"). Virtual Items are licensed to you, not sold; you receive a limited, revocable license to use them within the Services, and you have no property interest in them.
• SuperCoins are a virtual currency for use inside the Services (for example, to open SuperPacks). Virtual Items have no cash value, are not redeemable or exchangeable for real money or anything of value outside the Services, and may not be transferred, sold, or exchanged outside the Services. Any in-app trading of cards or players with league mates is a gameplay feature, not a transfer of property.
• Purchases of SuperCoins are processed by the app store you downloaded SuperLeagues from — the Apple App Store or Google Play — and are non-refundable except where required by law. Refund requests are handled by that store under its own terms, not by us.
• We may modify, rebalance, or discontinue Virtual Items at any time as part of operating the game. Unused Virtual Items may be forfeited if your account is terminated for violating these Terms or if the Services are discontinued.

6. SuperPass Subscription

• SuperPass is a monthly subscription that unlocks premium perks, billed through the app store you downloaded SuperLeagues from — your Apple ID on iOS, or your Google Play account on Android.
• Payment is charged to that account at confirmation of purchase. SuperPass auto-renews each month unless you cancel at least 24 hours before the end of the current period.
• You can manage or cancel SuperPass at any time in that store's subscription settings. On iOS: Settings → your name → Subscriptions. On Android: open the Google Play Store, then Menu → Subscriptions. The current price is shown in the app before you subscribe.
• Payment and refunds are handled by Apple or Google under their own terms; refund requests go through the store you purchased from.

7. No Gambling

SuperLeagues is a free-to-play game of skill played for entertainment. It is not gambling: we do not offer real-money wagering or paid contests, there are no entry fees, and no real-money prizes or anything of monetary value can be won in the Services. Purchases of SuperCoins and SuperPass are purchases of entertainment content, not wagers.

8. User Content and Conduct

The Services include league chat, direct messages, voice calls, and user profiles (collectively, content you submit is "User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit it as needed to operate, promote, and improve the Services. When you use the Services, you agree not to:

• Harass, threaten, abuse, bully, or defame other users in chat, calls, or anywhere else;
• Post or transmit content that is hateful, sexually explicit, violent, illegal, or that infringes the rights of others;
• Impersonate any person or entity, spam, or attempt to scam or defraud other users;
• Cheat, exploit bugs, use bots, scripts, or automation, collude to manipulate matchups or trades, or otherwise interfere with fair gameplay;
• Collect or harvest information about other users, or use the Services to violate any applicable law.

We may (but have no obligation to) monitor, review, or remove User Content, and we may suspend or terminate accounts that violate these Terms. You can report or block other users in the app, and you can report issues by emailing support@superleagues.com. We are not responsible for User Content; any views expressed in it are those of the users who post it. Content you or your league mates share via public share links may be visible to anyone with the link.

9. Intellectual Property

The Services — including the app, website, software, design, artwork, card designs, logos, and all other content we provide — are owned by us or our licensors and are protected by intellectual property laws. All rights not expressly granted to you are reserved. Team names, player names, and league marks belong to their respective owners; SuperLeagues is not affiliated with, sponsored by, or endorsed by the National Football League, the National Basketball Association, Major League Baseball, or any of their teams or players' associations.

If you send us feedback, ideas, or suggestions about the Services, you grant us the right to use them without restriction or compensation.

10. Copyright Complaints

If you believe that content available on the Services infringes your copyright, send a notice to support@superleagues.com that includes: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location within the Services; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers.

11. Third-Party Services

The Services depend on third-party services, including Apple and Google (sign-in and payments), sports data providers, and infrastructure providers. Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for third-party services or content.

12. Apple App Store Terms

If you access the Services through an app downloaded from the Apple App Store, the following also applies: these Terms are between you and SuperLeagues, not Apple, and Apple is not responsible for the Services or their content. Apple has no obligation to provide maintenance or support for the app, and no warranty obligations except that, if the app fails to conform to an applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple is not responsible for addressing any claims relating to the app, including product liability, regulatory, or intellectual property claims. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Termination

You may stop using the Services and delete your account at any time by emailing support@superleagues.com. We may suspend or terminate your account, or discontinue the Services in whole or in part, at any time if you violate these Terms, if required by law, or if we cease to offer the Services. Upon termination, your license to use the Services ends and Virtual Items (including Super Coins) are forfeited, except where the law requires otherwise. Sections of these Terms that by their nature should survive termination will survive.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT SPORTS STATISTICS, SCORES, OR OTHER DATA WILL BE ACCURATE OR TIMELY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERLEAGUES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, OR VIRTUAL ITEMS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify and hold harmless SuperLeagues and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your User Content, your use of the Services, or your violation of these Terms or of any rights of a third party.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or the Services that is not resolved informally will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us at support@superleagues.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

18. General

These Terms, together with the Privacy Notice, constitute the entire agreement between you and us regarding the Services. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and post the updated Terms; if we make material changes, we may also notify you in the app. Continuing to use the Services after changes take effect means you accept the updated Terms.
